Additionally, you will oversee secretarial and statutory audits while providing critical data to other departments for regulatory submissions. Key Responsibilities
- Lead the preparation and timely submission of all IRDAI and ROC filings and forms.
- Ensure comprehensive compliance with the Companies Act and IRDAI Corporate Governance norms.
- Draft and modify corporate policies in alignment with evolving insurance regulations.
- Manage the end-to-end conduct of Board and Committee meetings, including agenda and minutes.
- Liaise with external auditors and regulators for secretarial and statutory audits.
- Monitor director appointments and resignations to ensure compliance with the Shareholders’ Agreement.
- Provide secretarial data and insights to other teams for submission to global regulators.
- Foster a healthy governance culture through regular compliance training for senior leadership.
- Manage the relationship with legal counsel and statutory auditors on secretarial matters.
- Oversee the maintenance of all statutory registers and corporate records as per law.
Requirements and Qualifications
- Qualified Company Secretary (CS) from the ICSI.
- Extensive experience in corporate secretarial functions, ideally in the Life Insurance sector.
- Deep knowledge of the Companies Act 2013 and IRDAI Corporate Governance Guidelines.
- Exceptional drafting, coordination, and interpersonal skills.
- Ability to work under tight deadlines and manage high-pressure board interactions.
